Terms and Agreement

The full terms and agreement for all products and services offered by Direct Placement LLC, is available upon request. The following is a representation of that portion of the terms and agreement specific to Search Engine Placement Services. This is a MONTH to MONTH agreement, commencing on the date first payment is received, to be billed automatically, each month that follows unless otherwise instructed. The one-time setup fee is required of all new customers for integrating their website into the search engines and initializing an SEP Customer Account. It is nonrefundable. Should you decide to cancel, your monthly charge is not refundable. Cancellation can be made only via email to cancel@directplacement.co. If notice of cancellation is not received by email, 7 days prior to recurring date, Customer may incur a $35.00 cancellation fee if their account has already been billed for the upcoming month of placement. Customer understands that his/her account may be canceled at the discretion of Direct Placement. Customer understands that the alliances between independent search engines and the Yahoo! Search Network and Google search engines are not under the control of Direct Placement.

GUARANTEE:

All Search Engine Placement selections are Subject To Availability & Approval. Direct Placement guarantees your website will be positioned within the Sponsored Results on the FIRST SEARCH RESULTS PAGE of the search engine(s) you have selected. Direct Placement has up to and including (4) business days to secure placement on the selected search engine(s).

INTERNET DELAYS:

Services may be subject to limitations, delays and other problems inherent in the use of the internet and electronic communications. Direct Placement is not responsible for any delays, delivery failures or other damage resulting from such problems.

DOWNTIME:

You hereby acknowledge and agree that SEP Services may be inaccessible for a period or periods of time for purposes of maintenance, installation, update implementation, replacements, back-up, or modification. Direct Placement hereby disclaims, and you hereby waive, any and all responsibility of Direct Placement resulting from Direct Placement’s inability or failure to provide the Services during such downtime. If there is downtime, your account will be credited automatically for the time period in which your ads have not appeared and this credit will be applied to your following month’s bill.

GUARANTEE MAY BE VOIDED FOR:

Among other reasons, a poor website evaluation by the search engine(s), Website PopUps, Redirected Web Addresses, Top Level Domain Conflicts or Changes made to the Websites or domain names after they have been uploaded to the search engine(s). Direct Placement will make every reasonable effort to work with customers to maintain our guarantee.

ACCOUNT EVALUATION

Each new client of Direct Placement will automatically receive a month end report within (4) days after their first month of service. At this time the campaign will be evaluated for performance and your account advisor will make you aware of any suggested changes, including rate changes and potential additions to your account.

NOTE

Pricing and positioning are market driven, therefore, subject to change. If the cost to maintain position substantially increases, customer will have first right of refusal to continue placement at current market value or will be offered another position at the same price if available (cost will not be increased during current billing cycle). If cost substantially decreases, customer will be offered a lower cost.
